aria-hidden=\"true\"><\/div>\n<\/p><\/div>\n<\/p><\/div>\n<p>       The U.K. has opened a formal investigation into\u00a0Nvidia\u2019s $40 billion takeover of chip designer Arm, after the government said the deal could have national security implications.<\/p>\n<p> Digital secretary Oliver Dowden on Monday issued a public interest intervention notice relating to the proposed deal and requested that the U.K.\u2019s Competition and Markets Authority (CMA) prepare a report on the implications of the deal.<\/p>\n<div class=\"paywall\">\n       \u201cFollowing careful consideration of the proposed takeover of Arm, I have today issued an intervention notice on national security grounds,\u201d\u00a0Dowden said in a statement.<\/p>\n<p>\u201cWe want to support our thriving U.K. tech industry and welcome foreign investment, but it is <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>ropriate that we properly consider the national security implications of a transaction like this,\u201d he added.<\/p>\n<p>Shares in Nvidia<br \/>\n        NVDA,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/200467500\/composite\" class=\"negative\">-2.16%<\/bg-quote><br \/>\n       fell more than 2% in early trading on Monday.<\/p>\n<p><strong>Also read:<\/strong> Bids to buy U.K. firms to get harder as ministers shut out \u2018back door\u2019 takeovers from countries like China, Russia and U.S.<\/p>\n<p>Santa Clara, Calif.-based Nvidia\u00a0struck a deal with Japan\u2019s SoftBank Group<br \/>\n        9984,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/207303954\/delayed\" class=\"negative\">-1.84%<\/bg-quote><br \/>\n      <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.barrons.com\/quote\/JP\/XTKS\/9984\" class=\"icon none\">\u00a0<\/a>in September 2020 to buy Arm, in a move designed to transform the global semiconductor landscape. Arm licenses its chip designs to companies including Apple<br \/>\n        AAPL,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/202934861\/composite\" class=\"negative\">-1.73%<\/bg-quote><span>,<\/span><br \/>\n       Amazon<br \/>\n        AMZN,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/210331248\/composite\" class=\"negative\">-1.51%<\/bg-quote><span>,<\/span><br \/>\n       Samsung, and Qualcomm<br \/>\n        QCOM,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/206679220\/composite\" class=\"negative\">-1.44%<\/bg-quote><span>,<\/span><br \/>\n      \u00a0which use these chips to power device processors globally.\u00a0<\/p>\n<p>As a neutral supplier, Arm supplies critical chip <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/technology\/\" data-internallinksmanager029f6b8e52c=\"4\" title=\"Technology\" target=\"_blank\" rel=\"noopener\">technology<\/a> to a variety of customers, including Nvidia\u2019s rivals, and Nvidia has pledged not to change this business model. Nvidia has also promised to add its own technology to the portfolio of intellectual property that Arm can license.<\/p>\n<p>Critics have also warned that Nvidia, which in July 2020 overtook Intel<br \/>\n        INTC,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/203649727\/composite\" class=\"negative\">-1.45%<\/bg-quote><br \/>\n      \u00a0as the most valuable U.S. chip maker by market capitalization, would become too dominant if the Arm acquisition is approved.<\/p>\n<p>The CMA had already launched a standard investigation into the deal in January, saying it was \u201clikely to consider whether, following the takeover, Arm has an incentive to withdraw, raise prices or reduce the quality of its IP licensing services to Nvidia\u2019s rivals.\u201d<\/p>\n<div id=\"cx-membership-tile\"><\/div>\n<p><strong>Plus: <\/strong>Pressure grows for U.K. to intervene in Nvidia\u2019s $40 billion Arm takeover<\/p>\n<p>The competition watchdog has until July 30 to complete and submit its report to the digital secretary, who will either give the takeover the green light, approve it with certain conditions, or refer it for further scrutiny, either on public interest and competition grounds or on public interest grounds alone.<\/p>\n<p>A spokesperson for Nvidia said the company didn\u2019t believe the transaction poses any material national security issues. \u201cWe will continue to work closely with the British authorities, as we have done since the announcement of this deal,\u201d the spokesperson added.<\/p>\n<p>The U.K. intervention in the deal comes just five months after the government introduced new powers to prevent overseas companies from buying the country\u2019s sensitive assets, amid growing concern about the impact of China\u2019s growing economic power.<\/p>\n<p>Under the National Security and Investment Bill, companies will have to notify the government about proposed deals in 17 sectors deemed of strategic importance, including computer processing units and artificial intelligence.
