discusses in its IPO prospectus, which was filed this month after the doughnut seller first filed confidentially in early March.<\/p>\n<p> Krispy Kreme priced its IPO at $17 a share late Wednesday, well below the expected range of $21 to $24. It plans to raise $500 million through an offer of 29.4 million shares.<\/p>\n<div class=\"paywall\">\n       Krispy Kreme<br \/>\n        DNUT<span><\/span><br \/>\n       was public from 2000 to 2016, so the IPO will mark the return of the company to the public markets.<\/p>\n<p>JAB Holdings Co., a German conglomerate based in Luxembourg with investments in companies like Panera Bread, Keurig Dr Pepper Inc.<br \/>\n        KDP,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/201754990\/composite\" class=\"positive\">+0.53%<\/bg-quote><br \/>\n       and the fashion brand Bally, took Krispy Kreme private in a $1.35 billion deal in May 2016.<\/p>\n<p>JAB plans to purchase  between$50 million and $100 million in shares.<\/p>\n<p>There are 19 underwriters on the IPO with J.P. Morgan, Morgan Stanley, BofA Securities and Citigroup the lead book-running managers. Krispy Kreme expects to trade on the Nasdaq under the ticker \u201cDNUT.\u201d<\/p>\n<p>The company intends to use the proceeds from the offering to pay outstanding debt and for <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/general\/\" data-internallinksmanager029f6b8e52c=\"3\" title=\"General\" target=\"_blank\" rel=\"noopener\">general<\/a> business purposes. <\/p>\n<p><strong>Read:<\/strong> Amazon will open the doors to a grab-and-go, checkout-less grocery store on Thursday<\/p>\n<p>Once it\u2019s a public company, Krispy Kreme intends to offer a dividend, although it will need to become profitable to support a program. JAB Holdings will retain majority voting power once the deal closes, meaning individual investors will have little say in the running of the company.<\/p>\n<p>\u201cJAB will still be able to significantly influence the composition of our board of directors and the <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>roval of actions requiring stockholder approval,\u201d the prospectus says.<\/p>\n<div id=\"cx-membership-tile\"><\/div>\n<p>JAB and other companies in its portfolio are well-represented on the Krispy Kreme board, including Olivier Goudet, who is chairman of the Krispy Kreme board and chief executive of JAB; David Bell, a director and senior partner at JAB; and Patricia Capel, also a director and a partner at JAB.<\/p>\n<p>Goudet also intends to buy $5 million in shares in the offering.<\/p>\n<p> \u201cAccordingly, for such period of time, JAB will have significant influence with respect to our management, business plans, and policies, including the appointment and removal of our officers,\u201d the prospectus said.<\/p>\n<p>Krispy Kreme\u2019s Chief Executive Michael Tattersfield has been in the role since January 2017. He was previously chief executive of Caribou Coffee, another JAB Holding brand, from August 2008 to July 2017.<\/p>\n<p>Josh Charlesworth has been chief financial officer since April 2017 and has served as chief operating officer since May 2019. Prior to Krispy Kreme, he worked with Mars Inc., which manufactures candy, pet food and more.<\/p>\n<p>The company describes itself as an \u201caffordable indulgence,\u201d with 1.3\u00a0billion doughnuts sold across 30 countries in fiscal 2020.<\/p>\n<p><strong>See:<\/strong> Jack in the Box jumps into the virtual restaurant business with Uber Eats and Jason Derulo<\/p>\n<p>\u201cDespite our high brand awareness, we have a limited presence in certain key U.S. markets, such as New York and Chicago and have yet to build a significant presence in key U.S. cities, including Boston and Minneapolis,\u201d the prospectus says.<\/p>\n<p>China, Brazil and parts of Western Europe are also viewed as attractive geographic locations that the company intends to enter. Geographic expansion is described as key to the company\u2019s growth in the prospectus.<\/p>\n<p>Revenue in 2020 totaled $1.122 billion, the highest sales level ever for the brand, double the $557 million generated in 2016, and up from $961 million in 2019.<\/p>\n<p>But net losses for fiscal 2020 were $60.9 million, or almost double the loss of $34.0 million recorded in the previous year.<\/p>\n<p>An 83-year-old company based in Charlotte, NC., Krispy Kreme is sold at its own shops, which are also franchised, online, and through grocery stores and other outlets. The Hot Light Theater Shops and other hubs are known for the \u201cHot Now \u201d light, which lets customers know fresh doughnuts are ready, and \u201cglaze waterfalls.\u201d <\/p>\n<p>The company is also parent of \u201cInsomnia cookies,\u201d a product founded in a dorm room in 2003, a brand that includes ice cream, brownies and other items in addition to cookies and delivers them \u201c<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/insomniacookies.com\/?gclsrc=aw.ds&amp;gclid=CjwKCAjwn6GGBhADEiwAruUcKn2SztXosfCa9Sflz7lO3oZQRyVjCkazhN-u48p-oxfcf4xKau4g8xoCKhIQAvD_BwE\" class=\"icon none\">crazy late<\/a>,\u201d according to its website. Moreover, these items can be found everywhere, from coffee shops to grocery stores to restaurants.<\/p>\n<p>\u201cIndulgence foods have proven to be recession-resistant historically, as exhibited by 4.0% category growth through the global financial crisis (CAGR 2007-2009) and 4.3% during the current\u00a0COVID-19\u00a0pandemic (year-over-year 2019-2020),\u201d the prospectus said.<\/p>\n<p>\u201cWith favorable secular trends around indulgence and our positioning as a shared occasion treat, we aim to continue to strengthen our position as a leader in the category and capture outsized share of this attractive market opportunity.\u201d<\/p>\n<p><strong>Watch:<\/strong> Which sectors stand to win or lose as inflation creeps up<\/p>\n<h6><span class=\"ez-toc-section\" id=\"Krispy_Kreme_has_a_high_debt_burden\"><\/span>Krispy Kreme has a high debt burden<span class=\"ez-toc-section-end\"><\/span><\/h6>\n<p>Krispy Kreme has $1.2 billion in debt, its IPO documents show, the bulk of which is in the form of a term loan. While it plan to use proceeds of the IPO to pay down some of that debt, it will remain a burden as long as the company is posting losses.<\/p>\n<h6><span class=\"ez-toc-section\" id=\"Sharing_accounts_for_a_large_part_of_sales\"><\/span>Sharing accounts for a large part of sales<span class=\"ez-toc-section-end\"><\/span><\/h6>\n<p>The company says 75% of doughnuts are sold in half-dozen or full-dozen sharing quantities.
