You\u2019re constantly adapting to new challenges and situations, and at times you will find yourself asking questions you could never have even imagined.\u00a0<\/span><\/p>\n<p><span>At SeedLegals, having worked with over 15,000 startups across the UK, I know this all too well and I\u2019m h<a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>y to have become somewhat of a troubleshooting source for the founders in our network \u2014 offering advice on founder issues, funding, and company growing pains.\u00a0<\/span><\/p>\n<p><iframe loading=\"lazy\" src=\"https:\/\/fast.wistia.net\/embed\/iframe\/xo23fcyip6?videoFoam=true&amp;autoPlay=true\" title=\"Whats it like to be a startup founder in Barcelona? Video\" allowtransparency=\"true\" frameborder=\"0\" scrolling=\"no\" class=\"wistia_embed\" name=\"wistia_embed\" allowfullscreen=\"\" msallowfullscreen=\"\" width=\"100%\" height=\"100%\"><\/iframe><\/p>\n<p><span>Many of these questions cover similar ground, but of the hundreds I receive, some of them genuinely make me stop and think.\u00a0<\/span><\/p>\n<p><span>From misbehaving CTOs, bust-ups with co-founders, and entrepreneurs at the end of their tether, no one founder\u2018s situation is completely unique.<\/span><\/p>\n<p><span> So, I\u2019ve been compiling a list of some of the most unusual requests for advice I have received over the past year, in case any other founders find themself in a similar situation.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"1_My_CTO_has_been_arrested_%E2%80%93_can_I_get_back_their_shares_and_give_them_to_someone_else\"><\/span><b>1. My CTO has been arrested \u2013 can I get back their shares and give them to someone else?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>A while back a company called us and said, \u201cour CTO is in jail after an attempted murder and a drug bust. What do we do with their shares?\u201d<\/span><\/p>\n<p><span> Fortunately, the company had an employment agreement that included share vesting (\u201cBad Leaver\u201d lived up to its name here\u2026.) and they were able to get back the unvested shares, find a new CTO and give those shares to the new joiner instead. <\/span><\/p>\n<p><span>The lesson here is that it\u2019s really important to ensure everyone has a founder or an employee agreement that includes share vesting so if the person leaves they have to transfer some of their shares back to the company.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"2_What_happens_if_one_of_my_shareholders_dies\"><\/span><b>2. What happens if one of my shareholders dies?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>This has become a small, but nonetheless growing problem, and a shareholder dying can actually be a complicated issue. Sometimes it\u2019s an investor dying after they\u2019ve signed a shareholders agreement but before they\u2019ve sent their funds. <\/span><\/p>\n<p><span>In this case, can you still get the money from the estate? Do you have to unwind everything? It\u2019s going to be complicated but solvable. <\/span><\/p>\n<p><span>However, it could be a lengthy and complicated process dealing with the estate, and if that\u2019s the case, you\u2019re probably best off unwinding their investment and move on without it, rather than sitting in limbo for months trying to get their estate to send the funds.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"3_Can_my_board_fire_me\"><\/span><b>3. Can my board fire me?!<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>It\u2019s every founders\u2019 nightmare, but it has been greatly over-dramatized. It\u2019s actually quite difficult to get rid of a founder from the board \u2014 in fact, when you do a round with SeedLegals it\u2019s our goal to ensure you <\/span><i><span>can\u2019t <\/span><\/i><span>easily be fired from the board. <\/span><\/p>\n<p><span>Note that if the board becomes dysfunctional, the shareholders can, with a shareholder majority, fire board members. <\/span><span>If two or more founders are working in unison, this will be very hard to do as founders are usually the largest shareholders. <\/span><\/p>\n<p><span>But if the founders are in disagreement between themselves then maybe it\u2019s best for everyone that one goes, and the shareholders can help facilitate that.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"4_Im_done_but_my_co-founder_isnt_%E2%80%94_can_I_just_quit_and_start_again\"><\/span><b>4. I\u2019m done, but my co-founder isn\u2019t \u2014 can I just quit and start again?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>With the stresses of Covid, working from home, and business issues, it seems founder fallouts are on the increase. If the founders agree to part ways amicably, usually one will exit the company, return their unvested shares, and the company will continue under the other founder(s). <\/span><\/p>\n<p><span>But if you can\u2019t work it out, can you just take the IP in the project and start all over again? The short answer is no. <\/span><\/p>\n<p><span>There will likely be provisions in your founder or shareholder agreements that prevent you from taking IP from the company, or competing with the company. Breaking this may result in legal issues. <\/span><\/p>\n<p><span>There is nothing, however, stopping you from starting something completely different, but if the original startup was your passion or brainchild, you may have to accept something in a different space to work on.\u00a0<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"5_My_previous_investors_refuse_to_agree_to_our_next_fundraise_help\"><\/span><b>5. My previous investors refuse to agree to our next fundraise, help!<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>This very rarely happens, but in extreme cases you\u2019ll see disgruntled investors refuse to allow the company to raise again. You always have the nuclear option to tell the investor you\u2019ll walk away from the company and they\u2019ll lose all their money \u2014 which is the last thing they (or you) want. <\/span><\/p>\n<p><span>But before you get there, if the investor is a director too, you\u2019ll want to remind them that as a director they can\u2019t risk the business trading insolvent as there are criminal liabilities attached. <\/span><\/p>\n<p><span>So, by not allowing you to raise, they are forcing you to shut the company. If there are remaining assets, the founders, as the largest shareholders, will usually get the majority of the remaining assets. In cases like this get legal advice before doing anything rash.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"6_I_forgot_to_create_an_option_pool_in_my_last_round_%E2%80%94_how_do_I_fix_that\"><\/span><b>6. I forgot to create an option pool in my last round \u2014 how do I fix that?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>When you create a share option pool to give options to your team, that option pool will dilute all existing shareholders. And that\u2019s why companies usually create a \u201c10% pre-money option pool\u201d in their first funding round. This lets you give shares from the option pool to employees without diluting the investors in that round. <\/span><\/p>\n<p><span>Forgot to create that option pool? Or you didn\u2019t make it big enough? Or you didn\u2019t need one but now you do? Your investors will likely be unhappy to be diluted right after their investment, so they may ask that you create the option pool from your own shares, but this is much more complicated. <\/span><\/p>\n<p><span>So you\u2019re always best off creating the option pool as part of a funding round, or waiting until the next one.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"7_A_US_investor_asked_us_to_move_to_the_US_can_I_do_that_and_what_about_my_existing_investors_SEIS\"><\/span><b>7. A US investor asked us to move to the US, can I do that, and what about my existing investors\u2019 SEIS?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>US valuations and investment amounts are significantly higher than in the UK or Europe, making it an attractive prospect to do the \u201cDelware flip\u201d, as it\u2019s commonly known. <\/span><\/p>\n<p><span>If it\u2019s just two founders you can just hop on the plane, create a US company and start again, easy. But if you\u2019ve raised from investors and given them SEIS or EIS, you can\u2019t just lift and shift the company. <\/span><\/p>\n<p><span>Even if you give your investors shares in your US company, they\u2019ll likely lose their SEIS and won\u2019t be happy. There are complicated ways to possibly preserve SEIS but these may depend on the age of the company. <\/span><\/p>\n<p><span>So you\u2019ll want to persuade your UK investors that even though they may lose their SEIS, the new company valuation will make it worthwhile. You may raise enough to buy out your early investors, although that will usually come further down the line. <\/span><\/p>\n<p><span>Plan on $50,000 in legal fees for the Delaware flip. And living in the US, for better or worse.\u00a0<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"8_Can_I_pay_myself_in_dividends_instead_of_salary_to_pay_less_tax\"><\/span><b>8. Can I pay myself in dividends instead of salary to pay less tax?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>Contractors with their own business often pay themselves dividends instead of salary to reduce their tax. Some startup founders assume this will be the same for their startup. The problem is\u2026 it isn\u2019t. <\/span><\/p>\n<p><span>A startup is lossmaking (that\u2019s why you raise investment!) but you can\u2019t pay yourself dividends unless the company is profitable. So, once you have investors you\u2019ll need to ditch the idea of dividends and start paying yourself a salary. You\u2019ll make your serious money on the exit of the business, when you sell your shares then.\u00a0<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"9_Ive_had_a_huge_bust-up_with_my_co-founder_and_we_need_to_break_up_%E2%80%93_what_are_my_options\"><\/span><b>9. I\u2019ve had a huge bust-up with my co-founder and we need to break up \u2013 what are my options?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>When things go south between founders it can get really acrimonious, with both parties feeling they need to head off to lawyers. That often ends up killing the business, so if at all possible you want to work it out amicably. <\/span><\/p>\n<p><span>If one party is leaving because they want to pursue other things, sometimes they\u2019ll reach an agreement with you. The problem is, if <\/span><span>the exiting founder wants the other to buy back their shares based on the valuation of the last round, it\u2019s unlikely they\u2019ll be able to afford that. <\/span><span>If the remaining founder had the funds, they would be an investor, not a founder! <\/span><\/p>\n<p><span>Instead, try to <\/span><span>restructure the equity based on their contribution to the company in the past compared to the total life of the company. For example, instead of their having 40% equity, maybe they drop down to 5%. <\/span><\/p>\n<p><span>If you can\u2019t agree to something like this, you need the nuclear option \u2014 explain that you both need to walk away from the company and start something new, meaning you both lose out which wouldn\u2019t be in anyone\u2019s interest. <\/span><\/p>\n<p><span>Ideally, you won\u2019t need to actually press this red button.\u00a0<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"10_A_shareholder_is_blocking_me_from_doing_anything_%E2%80%94_how_do_I_get_rid_of_them\"><\/span><b>10. A shareholder is blocking me from doing anything \u2014 how do I get rid of them?<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span>This situation <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/general\/\" data-internallinksmanager029f6b8e52c=\"3\" title=\"General\" target=\"_blank\" rel=\"noopener\">general<\/a>ly arises when a shareholder disagrees with the direction of the company. It\u2019s not easy getting rid of a shareholder. <\/span><\/p>\n<p><span>You could try buying them out, though often they\u2019ll want way more than anyone is prepared to pay them, and anyway, the company usually doesn\u2019t have the funds or permissions to do that. <\/span><\/p>\n<p><span>It\u2019s worth remembering that if an investor is also a director, they are legally obliged to do what is best for the business, rather than their own personal agenda. The best approach is to establish a dialogue to understand their concerns and get everyone on the same page. <\/span><\/p>\n<p><span>Failing this, it\u2019s best to hire a lawyer or professional <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/social-mediaa\/\" data-internallinksmanager029f6b8e52c=\"1\" title=\"Social Media\" target=\"_blank\" rel=\"noopener\">media<\/a>tor, depending on the severity of the situation.\u00a0<\/span><\/p>\n<p>And that\u2019s it!
