Now, Moog Music is being sued over alleged contract breaches that relate to the cancellation. The civil suit was filed on August 11 by UG Strategies (UGS), the marketing and event production firm that organized Moogfest 2018. The new litigation follows a recent federal discrimination complaint filed by a former sales employee earlier this year.<\/p>\n<p>Filing a complaint with the Wake County Superior Court in Raleigh, North Carolina, UG Strategies claimed that Moog had wrongfully terminated a licensing agreement for UGS to manage Moogfest in 2018. The company had previously handled PR duties for earlier iterations of Moogfest. Moog and UGS arranged an agreement that was finalized in March, just two months before <a rel=\"nofollow noopener\" target=\"_blank\" data-offer-url=\"https:\/\/indyweek.com\/music\/archives\/moogfest-night-one-ominous-armory-noises-divine-danceable-pop\/\" class=\"external-link\" data-event-click='{\"element\":\"ExternalLink\",\"outgoingURL\":\"https:\/\/indyweek.com\/music\/archives\/moogfest-night-one-ominous-armory-noises-divine-danceable-pop\/\"}' href=\"https:\/\/indyweek.com\/music\/archives\/moogfest-night-one-ominous-armory-noises-divine-danceable-pop\/\">the festival happened in mid-May<\/a>; it was supposed to extend through 2020, renewing automatically in three-year terms unless otherwise breached, UGS alleges. But according to the suit, Moog terminated the agreement on August 31, 2018.<\/p>\n<div class=\"ConsumerMarketingUnitThemedWrapper-kknrtm gZsZUO consumer-marketing-unit consumer-marketing-unit--article-mid-content\" role=\"presentation\" aria-hidden=\"true\">\n<div class=\"consumer-marketing-unit__slot consumer-marketing-unit__slot--article-mid-content consumer-marketing-unit__slot--in-content\"><\/div>\n<div class=\"journey-unit\"><\/div>\n<\/div>\n<p>The complaint alleges that Moog agreed to pay UGS a substantial fee for its 2018 services, but paid less than half of what was due. Through the lawsuit, UGS is seeking damages in excess of $25,000, plus attorneys\u2019 fees.<\/p>\n<div class=\"Container-ineSfH hZaQAu\"><\/div>\n<p>When reached by Pitchfork, the attorney for Michael J. Adams, the president and CEO Moog Music, shared the following statement: \u201cIt is a baseless lawsuit filed on the eve of the statute of limitations by a company who terminated the contract.\u201d<\/p>\n<div class=\"AdWrapper-fEXqQS krBdZf ad ad--in-content\">\n<div class=\"ad__slot ad__slot--in-content\" data-node-id=\"sw2rpc\"><\/div>\n<\/div>\n<hr>\n<p>Prior to the UG Strategies lawsuit, another production company attempted similar legal action against Moog. For the 2019 festival, Moog had t<a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>ed a production company called Q Level to manage the festival. That October, Q Level filed a complaint alleging that Moog had \u201crevoked Q Level\u2019s rights\u201d to produce subsequent festivals, as outlined in a memorandum of understanding that served as a precursor to a formalized licensing agreement.<\/p>\n<div data-attr-viewport-monitor=\"inline-recirc\" class=\"inline-recirc-wrapper inline-recirc-observer-target-1 viewport-monitor-anchor\"><\/div>\n<p>Last September, Moog filed a counterclaim that issued denials to Q Level\u2019s breach of contract allegations. Moog\u2019s defense alleged, \u201cThe parties never had any agreement or expectation for [Moog] to compensate [Q Level], rather\u2026 the parties contemplated [Q Level] would retain 100% of the profits and 100% of the losses from 2019 Moogfest.\u201d The company accused Q Level of withholding <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/social-mediaa\/\" data-internallinksmanager029f6b8e52c=\"1\" title=\"Social Media\" target=\"_blank\" rel=\"noopener\">social media<\/a> passwords and damaging the Moog brand with those out-of-date channels, to the tune of \u201cat least $75,000.\u201d Moog dropped its counterclaim on October 20.<\/p>\n<p>After reaching an impasse with a mediator on February 17, 2021, the parties agreed to dismiss all remaining claims on April 5.<\/p>\n<hr>\n<p>In addition to the new Moogfest lawsuit, Moog Music Inc. is also facing a federal gender discrimination suit, filed by former sales staff employee Hannah Green on March 16, 2021 and amended on May 25. She\u2019s seeking more than $1.1 million in damages and legal fees, her lawyer told the <a rel=\"nofollow noopener\" target=\"_blank\" data-offer-url=\"https:\/\/ashevilleblade.com\/?p=4042\" class=\"external-link\" data-event-click='{\"element\":\"ExternalLink\",\"outgoingURL\":\"https:\/\/ashevilleblade.com\/?p=4042\"}' href=\"https:\/\/ashevilleblade.com\/?p=4042\"><em>Asheville Blade<\/em><\/a> in June.<\/p>\n<p>In the complaint, Green outlines the months of harassment and undercutting she allegedly faced as she worked her way up from a sales assistant to a high-performing member of the sales team. She says that in a period when she was the only woman on the sales team, her male colleagues continuously subjected her to verbal harassment, and that one in particular physically intimidated her on multiple occasions.<\/p>\n<p>Green claims that she was fired on April 23, 2020 as a result of her repeated objections to the ongoing harassment she faced. She alleges that she was ousted after after being refused consideration for a promotion that went to a male colleague, \u201cwithout posting the open position and without an application process, in contravention of written company policy.\u201d She also claims that the company denied her two months of promised severance pay. \u201cMoog\u2019s decision to terminate plaintiff\u2019s employment was made on the basis of her gender. In the alternative, the Defendant fired Green in retaliation for asserting her constitutional right to be free from non-discrimination in the workplace,\u201d the claim alleges.<\/p>\n<\/div>\n<div class=\"grid--item body body__container article__body grid-layout__content\" data-journey-hook=\"client-content\">\n<p>Green further detailed the harassment and abuse she said she faced at Moog to the <em>Asheville Blade.<\/em> \u201cOne of my last weeks there the guy that assaulted me and carried a knife, made a joke about killing a woman in a sales team meeting,\u201d she told the outlet.<\/p>\n<p>Moog denied Green\u2019s <em>Blade<\/em> claims in a statement to <a rel=\"nofollow noopener\" target=\"_blank\" data-offer-url=\"https:\/\/djmag.com\/news\/lawsuit-filed-against-moog-music-alleging-workplace-misogyny-discrimination-and-abuse-denies-all-claims\" class=\"external-link\" data-event-click='{\"element\":\"ExternalLink\",\"outgoingURL\":\"https:\/\/djmag.com\/news\/lawsuit-filed-against-moog-music-alleging-workplace-misogyny-discrimination-and-abuse-denies-all-claims\"}' href=\"https:\/\/djmag.com\/news\/lawsuit-filed-against-moog-music-alleging-workplace-misogyny-discrimination-and-abuse-denies-all-claims\"><em>DJ Mag<\/em><\/a>. The company said that it had conducted its own internal investigation and found Green\u2019s claims to be \u201cunsubstantiated.\u201d<\/p>\n<hr>\n<p>Moogfest works with the synthesizer company Moog Music and the Moog Institute, Moog\u2019s arm for nonprofit activities. Prior to UG Strategies\u2019 involvement, Moogfest was administered through a company called Triangle Partners, which was set up and run by Michael J. Adams and brand manager Emmy Parker.<\/p>\n<div data-attr-viewport-monitor=\"inline-recirc\" class=\"inline-recirc-wrapper inline-recirc-observer-target-2 viewport-monitor-anchor\"><\/div>\n<p>Moogfest lost $1.5 million on its April 2014 iteration in Asheville; barely a month later, Buncombe County\u2019s Culture and Recreation Authority <a rel=\"nofollow noopener\" target=\"_blank\" data-offer-url=\"https:\/\/mountainx.com\/news\/number-crunch-cra-board-recommends-1-17-million-for-nonprofits-denies-moogfest\/\" class=\"external-link\" data-event-click='{\"element\":\"ExternalLink\",\"outgoingURL\":\"https:\/\/mountainx.com\/news\/number-crunch-cra-board-recommends-1-17-million-for-nonprofits-denies-moogfest\/\"}' href=\"https:\/\/mountainx.com\/news\/number-crunch-cra-board-recommends-1-17-million-for-nonprofits-denies-moogfest\/\">declined its request<\/a> for $250,000 of funding, which motivated the festival\u2019s move to Durham, North Carolina in 2016. Moogfest had received $180,000 in cash and \u201cin-kind services\u201d from the city of Asheville and larger Buncombe County in 2014. Beginning in 2016, Moogfest received $125,000 in total funding from Durham city and county governments after pledging to stay in the city for five years\u2014an arrangement that was maintained annually through 2019.<\/p>\n<p>The company has used Moogfest as a platform for progressive branding in recent years. As North Carolina was grappling with the fallout from HB2, the 2016 anti-trans \u201cbathroom bill,\u201d Moogfest launched a \u201c<a rel=\"nofollow noopener\" target=\"_blank\" data-offer-url=\"https:\/\/indyweek.com\/music\/features\/will-moogfest-s-protest-stage-good-durham-just-bunch-buzz\/\" class=\"external-link\" data-event-click='{\"element\":\"ExternalLink\",\"outgoingURL\":\"https:\/\/indyweek.com\/music\/features\/will-moogfest-s-protest-stage-good-durham-just-bunch-buzz\/\"}' href=\"https:\/\/indyweek.com\/music\/features\/will-moogfest-s-protest-stage-good-durham-just-bunch-buzz\/\">protest stage<\/a>\u201d for 2017 that featured performances by Mykki Blanco, Talib Kweli, and a local punk trio. Later that year, the festival announced a slate of female, trans, and nonbinary performers as its first wave of programming for 2018. The move prompted Caroline Polachek to remove herself from the lineup, noting that she was \u201cfurious\u201d that the festival had been \u201cexploitative and unprofessional\u201d by not telling artists about those plans.<\/p>\n<\/div>\n<blockquote><p><strong><span style=\"color: #ff6600;\">If you liked the article, do not forget to share it with your friends.
