A deal with Gores Guggenheim Inc will raise a whopping $20 billion. <\/span><span data-offset-key=\"3ri0t-3-0\">As a result,\u00a0Polestar\u00a0gains\u00a0<i data-stringify-type=\"italic\">three times<\/i>\u00a0its projected revenues for 2023.<\/span><\/p>\n<p><iframe loading=\"lazy\" src=\"https:\/\/fast.wistia.net\/embed\/iframe\/l8c5ayh3on?videoFoam=true&amp;autoPlay=true\" title=\"\" allowtransparency=\"true\" frameborder=\"0\" scrolling=\"no\" class=\"wistia_embed\" name=\"wistia_embed\" allowfullscreen=\"\" msallowfullscreen=\"\" width=\"100%\" height=\"100%\"><\/iframe><\/p>\n<p><span data-preserver-spaces=\"true\">Some history and context. Polestar is jointly owned by Volvo Cars and Chinese auto company Geely. Following the success of the Polestar 1 and 2 EVs, the company raised in April $550 million in external funding and plans to build the Polestar 3 SUV at Volvo\u2019s U.S. plant,\u00a0 in the second half of 2022. <\/span><\/p>\n<p><span data-preserver-spaces=\"true\">The also company plans to launch two additional new models by 2024, and expand its global distribution footprint to 30 markets by 2023.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Okay_so_whats_a_SPAC\"><\/span><span data-preserver-spaces=\"true\">Okay, so what\u2019s a SPAC?<\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span data-preserver-spaces=\"true\">A special purpose acquisition company (SPAC) is a shell company formed explicitly <\/span>to raise money through an IPO, in order to acquire an existing company. <span data-preserver-spaces=\"true\">Investors also call them \u201cblank check companies.\u201d\u00a0<\/span><\/p>\n<p><span>(FYI: An IPO is an initial public offering where a company offers shares for the first time to raise money from public investors.)<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">A SPAC provides no commercial operations. They make no products and sell nothing. This year has also seen numerous SPACS not only by Polestar,\u00a0 but also by eVTOL companies like Archer aviation, Joby, and Lilium, and battery recycler\u00a0<a rel=\"nofollow noopener\" target=\"_blank\" class=\"c-link\" href=\"https:\/\/li-cycle.com\/news\/houston-spac-peridot-acquisition-corp-to-take-torontos-li-cycle-corp-public-3\/\" data-sk=\"tooltip_parent\">Li-Cycle<\/a>.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"What_are_the_advantages_of_a_SPAC\"><\/span><span data-preserver-spaces=\"true\">What are the advantages of a SPAC?\u00a0<\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span data-preserver-spaces=\"true\">In short, SPACs are a faster way for late-stage mobility companies to access public markets. That way, they can raise more money than with traditional VC or investor fundraising.<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">Plus, SPACs are less scrutinized in terms of financial reporting and investor analysis than traditional IPOs. According to <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.crestbridge.com\/insights\/special-purpose-acquisition-companies-innovative-solution-capital-raising\">Crestbridge<\/a>, selling to a SPAC can add up to 20% to the sale price compared to a typical private equity deal.\u00a0<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"What_are_the_downsides_to_a_SPAC\"><\/span><span data-preserver-spaces=\"true\">What are the downsides to a SPAC?<\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span data-preserver-spaces=\"true\">But it\u2019s not all good <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/news\/\" data-internallinksmanager029f6b8e52c=\"2\" title=\"News\" target=\"_blank\" rel=\"noopener\">news<\/a>. Senior analysts at Crunchbase, Asad Hussain and Cameron Stanfill, did a comprehensive\u00a0<\/span><a rel=\"nofollow noopener\" target=\"_blank\" class=\"editor-rtfLink\" href=\"https:\/\/prod.uploads.slack.files.api.cncms.aero\/F01M060DVHA\/PitchBook_Q1_2021_Analyst_Note_The_EV_Mobility_SPAC_Handbook%20(1).pdf\"><span data-preserver-spaces=\"true\">Pitchbook of mobility SPACs<\/span><\/a><span data-preserver-spaces=\"true\">.\u00a0<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">They note that companies can be over-hyped and receive heavy investment without scrutiny. For example, battery tech company QuantumScape obtained a valuation of $19.3 billion. This was despite not being expected to generate any meaningful revenue until 2025.\u00a0<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">Hydrogen trucking company Nikolahas maintained a valuation of more than $6.5 billion, despite multiple allegations of fraud and\u00a0<\/span><a rel=\"nofollow noopener\" target=\"_blank\" class=\"editor-rtfLink\" href=\"https:\/\/www.cnbc.com\/2021\/08\/02\/nikola-founder-criminal-charges-puts-other-spacs-on-notice.html\"><span data-preserver-spaces=\"true\">misleading SPAC investors<\/span><\/a><span data-preserver-spaces=\"true\">. The company is under investigation by the U.S. Securities and Exchange Commission (SEC) and the U.S. Department of Justice.<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">\u00a0Hussain and Stanfill note:<\/span><\/p>\n<blockquote>\n<p><span data-preserver-spaces=\"true\">While we are optimistic about electric vehicle adoption in the long term, we believe a major stock price decline in a high-profile name such as Tesla or Nikola could translate to a pullback in the broader electric vehicle and mobility SPAC ecosystem.<\/span><\/p>\n<\/blockquote>\n<p><span data-preserver-spaces=\"true\">Baris Guzel, Partner at <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.bmwiventures.com\/\">BMWiVentures<\/a>, keeps a running\u00a0<\/span><a rel=\"nofollow noopener\" target=\"_blank\" class=\"editor-rtfLink\" href=\"https:\/\/docs.google.com\/spreadsheets\/d\/1iYgiImC856WzBXFiMylSxtTJbo_0BxalpXDW9Jjz5Ug\/edit#gid=0\"><span data-preserver-spaces=\"true\">spreadsheet of mobility SPACs<\/span><\/a><span data-preserver-spaces=\"true\">. He asserts on\u00a0<\/span><a rel=\"nofollow noopener\" target=\"_blank\" class=\"editor-rtfLink\" href=\"https:\/\/medium.com\/swlh\/a-primer-for-going-public-via-spac-8d45b2c13a4f\"><span data-preserver-spaces=\"true\">Medium<\/span><\/a><span data-preserver-spaces=\"true\">\u00a0that:<\/span><\/p>\n<blockquote>\n<p><span data-preserver-spaces=\"true\">Due to substantial economics, SPACs are attracting unusual sponsors with limited investment experience, such as celebrities and politicians, which could create an \u201cICO like\u201d environment and hurt the reputation of SPACs as a class.<\/span><\/p>\n<\/blockquote>\n<p><span data-preserver-spaces=\"true\">Urgh, remember ICOs?\u00a0<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"SPACs_highlight_the_challenge_of_mobility_fundraising\"><\/span>SPACs highlight the challenge of mobility fundraising<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span data-preserver-spaces=\"true\">Fundraising is not always easy without a product. Especially if you\u2019re operating in stealth mode. Many companies<span class=\"hardreadability\"> provide not much more than a CGI video simulation of their finished product, and a model which may not even be functional or life-sized<\/span>.<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">But you could also concede that the absence of an actual product has never stopped investors from putting up money in companies before.\u00a0<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">What the vast majority of mobility companies do possess is credibility. Most founders come from within the industry. There\u2019s a lot of companies that are university spinoffs or employ highly knowledgeable academics.\u00a0<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">But they\u2019re dealing with products that could end up dead if poorly handled on the road or in the sky. It\u2019s understandable that they are slow burners rather than fast to market. <\/span><\/p>\n<p><span data-preserver-spaces=\"true\">Companies are forming partnerships and alliances and convergence (especially in battery tech).
