atmosphere? Should ExxonMobil be responsible in accounting for the emissions that auto drivers rack up?<\/p>\n<p> The Securities and Exchange Commission has said its meeting agenda set for Monday will include long-anticipated rulemaking on climate-change disclosure requirements for publicly-traded companies. But all eyes are on whether the agency could force companies to regularly report the more complicated Scope 3 emissions that are out of their direct control. <\/p>\n<div class=\"paywall\">\n       Scope 3 inclusion is a stipulation embraced by environmental groups, some Democratic lawmakers and investing advisers who believe only the most stringent rulemaking will curb climate change in time and satisfy growing interest in environmental sensitivity among investors. The average global surface temperature has already increased by 1.2\u00b0C above the preindustrial baseline level, this side argues.<\/p>\n<p>Business groups and some Republican lawmakers, meanwhile, say the costly reporting demands of Scope 3 are untenable and likely set up a court challenge to the SEC.<\/p>\n<p>Internal debate around the inclusion of Scope 3 and a mixed bag of comments on the issue has reportedly slowed the rulemaking. Still, big moves in climate-change regulation has increasingly gained value as a centerpiece of the Biden administration\u2019s efforts to slow the planet\u2019s rising temperature, particularly as other White House clean-energy initiatives have stalled in Congress.<\/p>\n<div data-layout=\"inline\n                \" data-layout-mobile=\"\" class=\"\n          media-object\n          type-InsetPullQuote\n            inline\n    scope-web|mobileapps\n  article__inset\n          article__inset--type-InsetPullQuote\n            article__inset--inline\n  \"><\/p>\n<div class=\"wsj-article-pullquote article__inset__pullquote \">\n<p class=\"pullquote-content article__inset__pullquote__quote\">\n        <span class=\"l-qt article__inset__pullquote__mark--left\">\u201c<\/span>\u2018It\u2019s difficult to read the <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/news\/\" data-internallinksmanager029f6b8e52c=\"2\" title=\"News\" target=\"_blank\" rel=\"noopener\">news<\/a> now and not see impact of climate change h<a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>ening right in front of us\u2026This gives momentum to a push like SEC rulemaking.\u2019 <span class=\"r-qt article__inset__pullquote__mark--right\">\u201d<\/span><\/p>\n<p>        <small><br \/>\n          <span class=\"inset-author article__inset__pullquote__author\">\u2014  Dave McGlinchey <\/span><br \/>\n        <\/small><\/p><\/div>\n<\/p><\/div>\n<p>       What\u2019s clear across the board: Climate change will increasingly factor in corporate reporting and investing decisions. In many ways, it already does on a voluntary basis. <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.wsj.com\/articles\/climate-fight-brews-as-sec-moves-toward-mandate-for-risk-disclosure-11624267803?mod=article_inline&amp;mod=article_inline\" class=\"icon none\">About 90% of companies<\/a>\u00a0in the\u00a0S&amp;P 500\u00a0publish voluntary reports disclosing carbon emissions to some degree as well as renewable-energy use. Investing giant BlackRock<br \/>\n        BLK,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/207946232\/composite\" class=\"negative\">-0.32%<\/bg-quote><span>,<\/span><br \/>\n       leading all asset firms with some $9.5 trillion under management, requires companies it invests in to disclose certain climate information. <\/p>\n<p> \u201cDisclosure rates are improving, but we still find that companies only disclose on about two-thirds of material topics,\u201d Aron Szapiro, head of policy research at Morningstar, and his team wrote in recent research. \u201cRegulatory mandates improve consistency, quality and completeness of disclosures, and would not be placing a huge new burden on many companies, given the progress already made.\u201d<\/p>\n<p>What\u2019s yet to be seen is if the U.S. follows the lead of the U.K., which plans to require climate disclosure starting in April, and the\u00a0European Union, which already has reporting rules in place.<\/p>\n<p>\u201cIt\u2019s difficult to read the news now and not see impact of climate change happening right in front of us. Yes, there\u2019s flooding. Wildfire. Droughts. Midwestern flooding that pushes the issue off the coasts and inland. This gives momentum to a push like SEC rulemaking,\u201d said Dave McGlinchey, part of the senior leadership team at Woodwell Climate Research Center, which submitted comments to the SEC. <\/p>\n<p>\u201cOf course there are calls for different approaches, varying levels of regulation,\u201d he said. \u201cBut it\u2019s difficult to find someone on the Hill who doesn\u2019t accept this, and that\u2019s very different from 10 years ago.\u201d<\/p>\n<div id=\"cx-membership-tile\"><\/div>\n<p>One of the biggest asks from companies is for the SEC to separate climate reporting from routine earnings and other disclosures. And some commenters to the government agency are worried about applying the same rules to smaller companies as large ones. Still, CEOs in the powerful Business Roundtable have <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/general\/\" data-internallinksmanager029f6b8e52c=\"3\" title=\"General\" target=\"_blank\" rel=\"noopener\">general<\/a>ly conceded that regulatory change is coming.<\/p>\n<p>Uber Technologies Inc.<br \/>\n        UBER,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/211348248\/composite\" class=\"positive\">+1.55%<\/bg-quote><br \/>\n      \u00a0\u00a0was one of the first companies to submit a comment letter to the SEC. It is urging the agency to create a comparable reporting system by incorporating disclosure and accounting standards from two nonprofit organizations\u2014the Task Force on Climate-Related Financial Disclosures, which was created by the Financial Stability Board, and the Sustainability Accounting Standards Board.<\/p>\n<p>Walmart\u00a0also uses\u00a0the reporting systems from SASB and TCFD, and the World Economic Forum has pushed for both.<\/p>\n<p>For investors, most want to fairly price the stocks of companies that will be affected by climate change. Investors are trying to guess if a company\u2019s products may be\u00a0regulated in the future\u00a0because of their impact on the climate, or if its supply chains may get more expensive over time. A company could be based in one part of the country, but source most of its raw materials in a region subjected to rising sea levels, for instance.<\/p>\n<p>Secondly, many investors are increasingly interested in environmental, <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/social-mediaa\/\" data-internallinksmanager029f6b8e52c=\"1\" title=\"Social Media\" target=\"_blank\" rel=\"noopener\">social<\/a> and governance (ESG) investing opportunities, betting on the fact that <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/technology\/\" data-internallinksmanager029f6b8e52c=\"4\" title=\"Technology\" target=\"_blank\" rel=\"noopener\">technology<\/a> and alternative energy such as solar, wind, nuclear and hydrogen<br \/>\n        ICLN,<br \/>\n        <bg-quote field=\"percentchange\" format=\"0,000.00%\" channel=\"\/zigman2\/quotes\/205740995\/composite\" class=\"positive\">+0.33%<\/bg-quote><br \/>\n       will only grow from here.\u00a0ESG investing\u00a0accounts for\u00a0$<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.businesswire.com\/news\/home\/20201116005284\/en\/The-US-SIF-Foundation%E2%80%99s-Biennial-%E2%80%9CTrends-Report%E2%80%9D-Finds-That-Sustainable-Investing-Assets-Reach-17.1-Trillion\" class=\"icon none\">17.1 trillion<\/a>\u00a0\u2014 or 1 in 3 dollars \u2014 of total U.S. assets under management. <\/p>\n<p>The ESG label itself is likely facing more scrutiny.<\/p>\n<p>\u201cThe challenge for the SEC is to ensure that claims being made about the sustainability of a company and the holdings in a mutual fund or exchange-traded fund are\u00a0<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.economist.com\/leaders\/2021\/05\/22\/sustainable-finance-is-rife-with-greenwash-time-for-more-disclosure\" class=\"icon none\">based on reality<\/a>,\u201d said Daniel Walters, assistant professor of law, and law student William Manson of Penn State University,<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/theconversation.com\/sec-will-consider-climate-disclosure-rules-for-us-companies-on-march-21-its-already-facing-threats-of-lawsuits-178304\" class=\"icon none\"> in a commentary<\/a>.<\/p>\n<h6><span class=\"ez-toc-section\" id=\"Scope_3_debate\"><\/span>Scope 3 debate<span class=\"ez-toc-section-end\"><\/span><\/h6>\n<p>Many businesses have pushed for the regulations to exclude disclosing Scope 3 emissions. Scope 3 are the emissions throughout a company\u2019s supply chain, including its customers. The Greenhouse Gas Protocol estimates between 80%-90% of an organization\u2019s total emissions are related to Scope 3.<\/p>\n<div data-layout=\"inline\n                \" data-layout-mobile=\"\" class=\"\n          media-object\n          type-InsetMediaIllustration\n            inline\n  article__inset\n          article__inset--type-InsetMediaIllustration\n            article__inset--inline\n  \"><\/p>\n<figure class=\"\n        media-object-image\n        enlarge-image\n        img-inline\n        article__inset__image\n      \" itemscope itemtype=\"http:\/\/schema.org\/ImageObject\"><\/p>\n<div style=\"padding-bottom:78.28571428571428%;\" data-subtype=\"photo\" class=\"image-container  responsive-media article__inset__image__image\">\n        <img decoding=\"async\" srcset=\"https:\/\/images.mktw.net\/im-508494?width=540&amp;size=1.2774451097804391 540w, https:\/\/images.mktw.net\/im-508494?width=620&amp;size=1.2774451097804391 620w, https:\/\/images.mktw.net\/im-508494?width=639&amp;size=1.2774451097804391 639w, https:\/\/images.mktw.net\/im-508494?width=700&amp;size=1.2774451097804391 700w, https:\/\/images.mktw.net\/im-508494?width=700&amp;size=1.2774451097804391&amp;pixel_ratio=1.5 1050w, https:\/\/images.mktw.net\/im-508494?width=700&amp;size=1.2774451097804391&amp;pixel_ratio=2 1400w, https:\/\/images.mktw.net\/im-508494?width=700&amp;size=1.2774451097804391&amp;pixel_ratio=3 2100w\" sizes=\"(max-width: 639px) 100vw, (max-width: 979px) 620px, (max-width: 1299px) 540px, 700px\" src=\"https:\/\/images.mktw.net\/im-508494?width=700&amp;height=548\" alt=\"\" title=\"\">\n      <\/div><figcaption class=\"wsj-article-caption article__inset__image__caption\" itemprop=\"caption\">\n          <span class=\"wsj-article-credit article__inset__image__caption__credit\" itemprop=\"creator\"><br \/>\n            Center for American Progress<br \/>\n          <\/span><br \/>\n  <\/figcaption><\/figure>\n<\/p><\/div>\n<p>       \u201cThe reality is that the exclusion of Scope 3 emissions from being publicly disclosed would make this new rule much less effective,\u201d said Joe Schloesser, senior director at ISN, a consultancy for contractor and supplier information management.<\/p>\n<p>\u201cDue to the amount of Scope 3 emissions produced by businesses, there\u2019s the most potential for improvement in this area,\u201d said Schloesser. \u201cPublic disclosure of these emissions will play a huge role in holding organizations accountable and ensuring that they are making progress toward their ESG initiatives.\u201d<\/p>\n<p>The SEC\u2019s three Democratic commissioners, who make up a majority of the commission,\u00a0<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.natlawreview.com\/article\/internal-dissension-sec-delays-climate-change-disclosure-regulations\" class=\"icon none\">have reportedly split<\/a>\u00a0on whether certain Scope 3 emissions can be viewed as \u201cmaterial\u201d to investors and subject to disclosure. \u201c<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.law.cornell.edu\/cfr\/text\/17\/240.12b-2\" class=\"icon none\">Material\u201d is defined<\/a>\u00a0as information that a reasonable person would consider important in making an investment decision.<\/p>\n<p>\u201cOur work on quantifying the scope and scale of risks\u2026 has made it clear that climate-change impacts are material for issuers of public securities and other businesses,\u201d McGlinchey said.<\/p>\n<div data-layout=\"inline\n                \" data-layout-mobile=\"\" class=\"\n          media-object\n          type-InsetPullQuote\n            inline\n    scope-web|mobileapps\n  article__inset\n          article__inset--type-InsetPullQuote\n            article__inset--inline\n  \"><\/p>\n<div class=\"wsj-article-pullquote article__inset__pullquote \">\n<p class=\"pullquote-content article__inset__pullquote__quote\">\n        <span class=\"l-qt article__inset__pullquote__mark--left\">\u201c<\/span>\u2018Due to the amount of Scope 3 emissions produced by businesses, there\u2019s the most potential for improvement in this area.\u2019  <span class=\"r-qt article__inset__pullquote__mark--right\">\u201d<\/span><\/p>\n<p>        <small><br \/>\n          <span class=\"inset-author article__inset__pullquote__author\">\u2014  Joe Schloesser<\/span><br \/>\n        <\/small><\/p><\/div>\n<\/p><\/div>\n<p>       Some critics of climate disclosures, including\u00a0<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.sec.gov\/comments\/climate-disclosure\/cll12-8915606-244835.pdf\" class=\"icon none\">several Republican state attorneys general<\/a>, suggest that the SEC has no authority to require disclosures that are not financially material. Missouri\u2019s attorney general wrote in comments that requiring climate reporting would impose \u201c<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.sec.gov\/comments\/climate-disclosure\/cll12-8915601-244834.pdf\" class=\"icon none\">large costs and administrative burdens<\/a>\u201d on publicly traded companies. <\/p>\n<p> A group of senators, in their comments to the SEC, suggested greenhouse gas-related assets would\u00a0simply <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.sec.gov\/comments\/climate-disclosure\/cll12-8911330-244285.pdf\" class=\"icon none\">shift to private companies<\/a> to avoid the SEC\u2019s watch.\u00a0<\/p>\n<p>Larry Fink, CEO of BlackRock, warned late last year that too narrow a focus on the advances and misdeeds of public companies could force more fossil-fuel operations to become private concerns to avoid tougher scrutiny. This, he said, will be a form of \u201cgreenwashing.\u201d<\/p>\n<h6><span class=\"ez-toc-section\" id=\"Legal_challenge\"><\/span>Legal challenge<span class=\"ez-toc-section-end\"><\/span><\/h6>\n<p>But the SEC, sensing this tough territory, has worked slowly. Some Democrats on Capitol Hill have said regulation must aim high at the outset, considering a court challenge is likely no matter what.<\/p>\n<p>The Administrative Procedure Act allows courts to vacate SEC rules that are\u00a0deemed arbitrary or capricious\u00a0because the agency failed to offer sufficient justification for choosing the proposal over alternatives.
