Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>ened till now, and what are the possibilities going forward.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"The_game_of_the_board_seat\"><\/span>The game of the board seat<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>The story kicked off last week, with Musk disclosing that he\u2019s bought 9.2% shares in Twitter. The company\u2019s CEO Parag Agrawal said that the SpaceX founder will join the social network\u2019s board, with a condition that will prevent him from buying more than 14.9% shares.<\/p>\n<p>This scenario changed over the weekend, with Musk tweeting a ton of suggestions for the service, including removing \u2018w\u2019 from its name, and turning its San Francisco headquarters into a shelter.<\/p>\n<p>Later, he declared that he won\u2019t join Twitter\u2019s board, followed by an Agrawal\u2019s tweet that contained a memo to employees with some snarky sentences.<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"500\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">Elon has decided not to join our board. I sent a brief note to the company, sharing with you all here. <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/t.co\/lfrXACavvk\">pic.twitter.com\/lfrXACavvk<\/a><\/p>\n<p>\u2014 Parag Agrawal (@paraga) <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/twitter.com\/paraga\/status\/1513354622466867201?ref_src=twsrc%5Etfw\">April 11, 2022<\/a><\/p>\n<\/blockquote>\n<p>The language used in the memo, especially phrases like \u201ccontingent to a background check\u201d and \u201c[he] has to act in the best interest of the company and all our shareholders\u201d raised eyebrows.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"The_bid_and_the_reason\"><\/span>The bid and the reason<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Yesterday, in <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/0001418091\/000110465922045641\/tm2212748d1_sc13da.htm\">an SEC filing<\/a>, Musk offered to buy 100% of Twitter for $54.20 a share (yes, I also saw that 420). He said the price is 54% premium over the closing price on January 28, after which he began buying the company\u2019s shares.<\/p>\n<p>I know regulatory filings can be really boring, but you have to read this one. Why wouldn\u2019t you read a document which has phrases that sound like Taylor Swift\u2019s song lyrics: \u201cI am not playing the back-and-forth game\u201d and \u201cI have moved straight to the end.\u201d<\/p>\n<p>Jokes aside, in the filing, Musk said without taking the company private, \u201cit\u2019s simply not a good investment without the changes that need to be made.\u201d Mind you, indicating that he might sell his stake, if he doesn\u2019t get to buy the whole bunch.<\/p>\n<p>Later, speaking at TED 2022 held in Vancouver, the PayPal co-founder cleared his intentions about buying Twitter, and what he wanted to do with it.<\/p>\n<figure>\n<p>                <iframe loading=\"lazy\" srcdoc=\"&lt;style&gt;*{padding:0;margin:0;overflow:hidden}html,body{background:#000;height:100%}img{position:absolute;top:0;left:0;width:100%;height:100%;object-fit:cover;transition:opacity .1s cubic-bezier(0.4,0,1,1)}a:hover img+img{opacity:1!important}&lt;\/style&gt;&lt;a href=\" https:=\"\" src=\"https:\/\/img.youtube.com\/vi\/cdZZpaB2kDM\/hqdefault.jpg\" style=\"top: 50%;left:50%;width:68px;height:48px;transform:translate3d(-50%,-50%,0)\" height=\"240\" width=\"320\" allow=\"accelerometer; autoplay; clipboard-write; encrypted-media; gyroscope; picture-in-picture\" allowfullscreen=\"\" frameborder=\"0\"><\/iframe><\/p>\n<\/figure>\n<p>        <!--resp-video-container--><br \/>\nIn answer to the question about why he made the bid, he said he wanted it to become an \u201cinclusive arena for free speech.\u201d<\/p>\n<p>\u201cTwitter has become kind of the de facto town square. So it\u2019s just really important that people have both the reality and the perception that they\u2019re able to speak freely within the bounds of the law,\u201d Musk said.<\/p>\n<p>One of the major changes he wants to execute is to make Twitter\u2019s algorithm open-source and host it on GitHub. Plus, he wants the social network to publish all actions taken on a tweet, so there\u2019s no \u201cbehind the scenes manipulation, algorithmically or manually.\u201d<\/p>\n<p>Musk has long advocated <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/twitter.com\/elonmusk\/status\/1507259709224632344\">a \u201cfree speech\u201d<\/a> model on social networks \u2014 especially Twitter. But his idea of the concept is murky. It can allude to an ideology that lets you tweet anything as long as it\u2019s not illegal.<\/p>\n<p>The definition of content\u2019s legality changes per country and per region. And some governments can also prohibit social networks to publish the reason why a piece of content was taken down. An open-source codebase can\u2019t do anything about that.<\/p>\n<p>Sure, algorithms play a part in surfacing certain kinds of posts. But making them transparent doesn\u2019t always solve problems of misinformation and moderation in different languages.<\/p>\n<p>Musk also mentioned that buying out Twitter is not a money-minded move:<\/p>\n<blockquote><p>My strong intuitive sense is that having a public platform that is maximally trusted and broadly inclusive is extremely important.<\/p>\n<\/blockquote>\n<p>If we look at the history of social networks, people flocked to a platform because they enjoyed the format, and trusted its operators at some level.<\/p>\n<p>But as a service grows, it has to face different challenges like misinformation and hate speech. So it\u2019s extremly difficult to build a platform that pleases a large chunk of its audience about its speech policies.<\/p>\n<p>Musk mentioned that it\u2019s possible he may not be able to buy the platform after all. That brings us to what the board is thinking about the world\u2019s richest man\u2019s bid.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Whats_ahead_for_Twitter\"><\/span>What\u2019s ahead for Twitter?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>After Musk\u2019s bid, Saudi Prince Al-Waleed bin Talal-led Kingdom Holding Company tweeted that the bid was underpriced.<\/p>\n<p>In response, the Tesla CEO was swift in asking about the Kingdom\u2019s ownership of Twitter, and its views on journalistic freedom of speech.<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"500\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">Interesting. Just two questions, if I may. <\/p>\n<p>How much of Twitter does the Kingdom own, directly &amp; indirectly?<\/p>\n<p>What are the Kingdom\u2019s views on journalistic freedom of speech?<\/p>\n<p>\u2014 Elon Musk (@elonmusk) <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/twitter.com\/elonmusk\/status\/1514683079968931841?ref_src=twsrc%5Etfw\">April 14, 2022<\/a><\/p>\n<\/blockquote>\n<p>According to a report from <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.theinformation.com\/articles\/twitter-board-expected-to-fight-musk-offer\">The Information<\/a>, the board considers Musk\u2019s offer an unwelcome one. They\u2019re possibly preparing many ways to fight this bid, including a poison pill defense, as noted by <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.bloomberg.com\/news\/articles\/2022-04-14\/twitter-is-said-to-weigh-poison-pill-defense-to-thwart-musk-bid?sref=ExbtjcSG\">Bloomberg<\/a>.<\/p>\n<p>In this tactic, the board offers existing shareholders to buy more stock at a discounted price, preventing a hostile takeover.<\/p>\n<p>While this was going on, asset management company Vanguard Group <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.wsj.com\/livecoverage\/elon-musk-twitter\/card\/elon-musk-is-no-longer-twitter-s-largest-shareholder-BNwzaP8JDQLlUc6yAJBb?mod=e2tw\">increased its stake in Twitter to 10.3%<\/a> \u2014 dethroning Musk as the social network\u2019s largest shareholder.<\/p>\n<p>He\u2019s not the only one considering a Twitter takeover, though. A report by <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/nypost.com\/2022\/04\/14\/elon-musk-could-have-competition-thoma-bravo-considers-bid-for-twitter\/\">The New York Post<\/a> suggested that private equity firm Therma Bravo is also contemplating about making a bid.<\/p>\n<p><a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.nytimes.com\/live\/2022\/04\/14\/business\/elon-musk-twitter#elon-musk-twitter-employees\">Multiple<\/a> <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.theverge.com\/2022\/4\/14\/23025903\/twitter-ceo-board-elon-musk-takeover-still-evaluating\">reports<\/a> suggested that Twitter employees are uncomfortable with these developments, and some are even equating it to a \u201chostage situation.\u201d<\/p>\n<p>In an all-hands meeting on Thursday, Agrawal tried to reassure them by saying that he feels \u201ceverything would work out as it should.\u201d<\/p>\n<p>We can surely expect action-packed next few weeks, and hopefully a potential TV show about this saga a few years down the line.<\/p>\n<p>Meanwhile, at TED 2022, Musk <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.youtube.com\/watch?v=cdZZpaB2kDM\">mentioned<\/a> that he has a \u201cplan-B\u201d if Twitter rejects his bid.
