Mark Zuckerberg&#8221;<span class=\"ez-toc-section-end\"><\/span><\/h1>\n<div>\n<aside class=\"single__inline-module alignleft\">\n<\/aside>\n<p>Nonprofits including the American Federation of Teachers, the Anti-Defamation League and the LGBTQ advocacy group GLAAD are throwing their weight behind a Meta shareholder effort to place checks on \u201ctoxic\u201d Mark Zuckerberg\u2019s power at the company\u2019s board meeting next week, The Post has learned.\u00a0<\/p>\n<p>On Tuesday, the groups came out in support of two Meta shareholder resolutions that supporters say would give much-needed oversight of Instagram and <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/social-mediaa\/\" data-internallinksmanager029f6b8e52c=\"1\" title=\"Social Media\" target=\"_blank\" rel=\"noopener\">Facebook<\/a>, as well as examine the potential \u201cdystopian downsides\u201d of Zuckerberg\u2019s metaverse push.\u00a0<\/p>\n<p>SumOfUs, a corporate accountability group working with several activist Meta shareholders, introduced the resolutions in April, as first reported by The Post.\u00a0<\/p>\n<p>The group points to three crises facing Meta as evidence of Zuckerberg\u2019s failed leadership: privacy restrictions by Google and <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">App<\/a>le that have\u00a0damaged Meta\u2019s advertising business, the growing momentum for\u00a0antitrust lawsuits and bills targeting Meta\u00a0and other big tech firms, as well as allegations that Zuckerberg has\u00a0lied to investors and lawmakers about Instagram\u2019s harmful effects on teens and other ills.<\/p>\n<p>\u201cMark Zuckerberg is either unwilling or unable to run his company in a way that protects the best interests of Meta\u2019s users or shareholders,\u201d SumOfUs shareholder engagement advisor Christina O\u2019Connell said on Tuesday. \u201cWe cannot let Mark Zuckerberg continue running Meta so recklessly.\u201d <\/p>\n<p>Meta\u2019s shares are down roughly 41% so far this year.\u00a0<\/p>\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" loading=\"lazy\" width=\"1024\" height=\"682\" src=\"https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/meta-02.jpg?w=1024\" alt=\"\" class=\"wp-image-22290474\" srcset=\"https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/meta-02.jpg?quality=75&amp;strip=all&amp;w=1535 1536w, https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/meta-02.jpg?quality=75&amp;strip=all 1024w, https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/meta-02.jpg?quality=75&amp;strip=all&amp;w=512 512w\" sizes=\"auto, (max-width: 1024px) 100vw, 1024px\"\/><figcaption>\u201cWe cannot let Mark Zuckerberg continue running Meta so recklessly,\u201d said Christina O\u2019Connell of SumOfUs. <\/figcaption><figcaption><span class=\"credit\">Getty Images<\/span><\/figcaption><\/figure>\n<p>Other groups that have come out in support of SumOfUs\u2019 resolutions on Tuesday include the consumer advocate Public Citizen, the pro-abortion group NARAL Pro-Choice America and the healthcare advocacy group Doctors for America.\u00a0<\/p>\n<p>The\u00a0first resolution they support calls for an outside assessment of Meta\u2019s Audit and Risk Oversight Committee, a board the company created in 2020 that is supposed to be independent from Zuckerberg and makes decisions about content moderation issues such as\u00a0former President Donald Trump\u2019s ban\u00a0from Facebook and Instagram.\u00a0The groups say that Meta\u2019s current struggles show the oversight board may not be doing its job well.\u00a0<\/p>\n<aside class=\"single__inline-module alignright\">\n    <\/aside>\n<p>The second resolution sounds the alarm about \u201cpotential psychological and civil and human rights harms\u201d associated with Zuckerberg\u2019s metaverse push and calls on Meta to commission a third-party audit of the metaverse\u2019s potential risks \u2014 such as the\u00a0potential for harassment, as well as privacy concerns \u2014 then hold a shareholder vote to see whether investors support the project.\u00a0<\/p>\n<p>As part of the push, the groups are buying airtime on CNBC in New York and the Bay Area during the coming week for ads that urge Meta investors to \u201chold Mark accountable.\u201d\u00a0<\/p>\n<p>Shareholders will vote on whether to approve the resolutions ahead of Meta\u2019s annual shareholder meeting, which is set for next Wednesday. \u00a0Backers of the proposals will be allowed to speak at the virtual meeting and the results of the vote will be announced afterward.\u00a0<\/p>\n<p>The company has urged investors to vote against the resolutions, arguing that they are unnecessary.\u00a0<\/p>\n<p>Meta\u2019s unconventional ownership structure allows Zuckerberg to effectively veto any shareholder attempt to change the company\u2019s operations.
