The firm said transaction could be a merger or takeover that would result in a change of control over Wendy\u2019s. <\/p>\n<p>Wendy\u2019s shares were trading nearly 10% higher Wednesday as investors reacted to a potential sale.<\/p>\n<p>Wendy\u2019s confirmed its awareness of the Trian Partners filing, noting that its \u201cboard of directors and management team regularly review the Company\u2019s strategic priorities and opportunities with the goal of maximizing value for all stockholders.\u201d<\/p>\n<p>\u201cOur Board is committed to continuing to act in the best interests of the Company and its stockholders,\u201d Wendy\u2019s said in a statement. \u201cConsistent with its fiduciary duties, the Board will carefully review any proposal submitted by Trian Partners.\u201d<\/p>\n<aside class=\"single__inline-module alignright\">\n    <\/aside>\n<p>Trian\u2019s leaders already exert significant control over Wendy\u2019s operations, with three seats on its board. The hedge fund\u2019s co-founder, billionaire Nelson Peltz, is Wendy\u2019s chairman, while another co-founder Peter May is vice chairman.<\/p>\n<p>Trian owns more than 19% of Wendy\u2019s shares, more than any other entity, according to Dow Jones data.<\/p>\n<p>Wendy\u2019s stock has plunged more than 23% over the last 12 months.<\/p>\n<p><a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/trianpartners.com\/portfolio-client\/wendys\/\">Trian\u2019s website notes the firm<\/a> has pushed to improve Wendy\u2019s value \u201cby divesting ancillary brands, lowering overhead, improving restaurant operations, investing in growth and returning capital to shareholders\u201d since it first invested in the company in 2005.<\/p>\n<p>The activist push will unfold as Wendy\u2019s and other firms contend with difficult market conditions.
