The tech-heavy Nasdaq has tumbled more than 26% this year. In one day this week,\u00a0social media companies\u00a0had about $130 billion in market value erased over rising questions about advertiser spending.<\/p>\n<p>With the perceived value of tech companies on the decline, at least for now, more buyouts could be on the way with targeted companies <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>earing relatively cheap.<\/p>\n<figure class=\"wp-block-image size-large\"><img loading=\"lazy\" decoding=\"async\" width=\"1024\" height=\"682\" src=\"https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware-3.jpg?w=1024\" alt=\"Broadcom CEO Hock Tan\" class=\"wp-image-22421410\" srcset=\"https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware-3.jpg?quality=75&amp;strip=all&amp;w=1535 1536w, https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware-3.jpg?quality=75&amp;strip=all 1024w, https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware-3.jpg?quality=75&amp;strip=all&amp;w=512 512w\" sizes=\"auto, (max-width: 1024px) 100vw, 1024px\"\/><figcaption>Broadcom CEO Hock Tan with President Trump in 2017.<\/figcaption><figcaption><span class=\"credit\">AFP\/Getty Images<\/span><\/figcaption><\/figure>\n<p>And Broadcom CEO Hock Tan has been among the most aggressive buyers, building out the company with big acquisitions in recent years like\u00a0Symantec\u00a0for close to $11 billion in 2019, and CA Technologies for about $19 billion the previous year.<\/p>\n<p>Broadcom wants to establish a stronger foothold in the cloud computing market and VMware\u2019s technology allows large corporations to blend public cloud access with internal company networks. VMware has close relations with every major cloud company and provider, including Amazon, Google and Microsoft.<\/p>\n<aside class=\"single__inline-module alignright\">\n    <\/aside>\n<p>\u201cVMware\u2019s platform and Broadcom\u2019s infrastructure software solutions address different but important enterprise needs, and the combined company will be able to serve them more effectively and securely,\u201d Tom Krause, president of the Broadcom Software Group, said in a prepared statement Thursday.<\/p>\n<p>The Broadcom Software Group will rebrand and operate as VMware once the transaction closes. The cash-and-stock deal also includes $8 billion of VMware net debt.<\/p>\n<p>Under the proposed offer, VMware shareholders can choose to receive either $142.50 in cash or 0.2520 shares of Broadcom common stock for each VMware share.<\/p>\n<p>VMware is already among the moving parts of the tech sector this year, with Dell Technologies Inc. spinning off its 81% equity stake in company only about 6 months ago. Michael Dell is still VMware\u2019s chairman and he owns 40.2% of the company\u2019s outstanding shares.<\/p>\n<p>\u201cIf Broadcom plans to enter the enterprise software market it could be a boon into a new area that it doesn\u2019t have much presence for outside of CA Technologies,\u201d wrote Tracy Woo, senior analyst with Forrester Research. \u201cIt could extract some functionality from VMware\u2019s portfolio to pad CA\u2019s product capabilities.\u201d<\/p>\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" loading=\"lazy\" width=\"1024\" height=\"682\" src=\"https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware1.jpg?w=1024\" alt=\"VMware logo\" class=\"wp-image-22421421\" srcset=\"https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware1.jpg?quality=75&amp;strip=all&amp;w=1535 1536w, https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware1.jpg?quality=75&amp;strip=all 1024w, https:\/\/nypost.com\/wp-content\/uploads\/sites\/2\/2022\/05\/broadcom-vmware1.jpg?quality=75&amp;strip=all&amp;w=512 512w\" sizes=\"auto, (max-width: 1024px) 100vw, 1024px\"\/><figcaption>VMware has close relations with every major cloud company and provider, including Amazon, Google and Microsoft.<\/figcaption><figcaption><span class=\"credit\">REUTERS<\/span><\/figcaption><\/figure>\n<p>Dell and Silver Lake, which owns 10% of VMware\u2019s outstanding stock, have signed support agreements to vote in favor of the transaction, as long as VMware\u2019s board continues to recommend the proposed deal.<\/p>\n<p>The transaction includes a \u201cgo-shop\u201d provision, so VMware is allowed to actively solicit, receive, evaluate and potentially enter negotiations with parties that offer alternative proposals during a 40-day period.<\/p>\n<p>To help finance the transaction, Broadcom has obtained commitments from a consortium of banks for $32 billion in new, fully committed debt financing.<\/p>\n<p>It\u2019s anticipated that current Broadcom Inc. shareholders will own approximately 88% and current VMware shareholders will own about 12% of the combined company.<\/p>\n<p>The boards of both California companies have approved the deal, which is expected to be completed in Broadcom\u2019s fiscal year 2023.
