former\u00a0McDonald\u2019s chief executive Stephen Easterbrook with making false and misleading statements to investors about the circumstances of\u00a0his 2019 termination.<\/p>\n<p>The SEC hit Easterbrook with a five-year officer and director bar\u00a0and a $400,000 civil penalty.<\/p>\n<p>McDonald\u2019s\u00a0fired Easterbrook\u00a0in November 2019 for exercising \u201cpoor judgment\u201d by engaging in a relationship with a\u00a0McDonald\u2019s\u00a0employee, the SEC said.<\/p>\n<p>But Easterbrook failed to disclose other additional violations of company policy he committed by engaging in undisclosed relationships with other employees of the fast-food giant, it said.<\/p>\n<p>\u201cWhen corporate officers corrupt internal processes to manage their personal reputations or line their own pockets, they breach their fundamental duties to shareholders,\u201d the SEC\u2019s enforcement director Gurbir Grewal said in a statement.<\/p>\n<p>The agency also charged\u00a0McDonald\u2019s\u00a0with \u201cshortcomings\u201d in its public disclosures related to Easterbrook\u2019s ouster, but did not impose any fines on\u00a0McDonald\u2019s\u00a0due to the firm\u2019s \u201csubstantial cooperation\u201d with the investigation, the SEC said.<\/p>\n<figure class=\"wp-block-image size-large\"><img loading=\"lazy\" decoding=\"async\" width=\"1024\" did not respond im<a href=\"https:\/\/buradabiliyorum.com\/en\/category\/social-mediaa\/\" data-internallinksmanager029f6b8e52c=\"1\" title=\"Social Media\" target=\"_blank\" rel=\"noopener\">media<\/a>tely to calls for comment.\u00a0McDonald\u2019s\u00a0said in a statement that the settlement\u00a0reinforced the fact\u00a0it held Easterbrook \u201caccountable for his misconduct.\u201d<\/p>\n<p>In 2021, Easterbrook returned over $105 million he received as a severance package in 2019 and apologized to the company to\u00a0settle a lawsuit\u00a0over the alleged cover-up.<\/p>\n<p>\u201cWe fired him, and then sued him upon learning that he lied about his behavior,\u201d the firm said in its statement on Monday.<\/p>\n<p>Republican SEC commissioners Hester Peirce and Mark Uyeda dissented against the charges against\u00a0McDonald\u2019s, saying the order turns the \u201cvictim of Mr. Easterbrook\u2019s deception\u201d into a securities law violator.<\/p>\n<p>The dissenting commissioners said they have concerns the case will create a \u201cslippery slope\u201d that expands public companies\u2019 disclosure requirements.\n
