As such, when the duo revealed plans to merge in a $19 billion transaction last June, it was always likely to attract scrutiny. The Competition and Markets Authority (CMA) kicked off its initial \u201cphase 1\u201d probe\u00a0in January, before progressing things\u00a0to a full in-depth investigation in June, after conducting a market analysis and collating industry feedback.<\/p>\n<p class=\"wp-block-paragraph\">Then, in September, the CMA delivered its provisional findings, concluding that the merger could lead to higher prices for consumers, diminished services, and reduced investment in U.K. mobile networks. But it stopped short of blocking the deal, instead suggesting potential remedies to <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>ease its concerns.<\/p>\n<p class=\"wp-block-paragraph\">And this leads us to today, with the CMA finally approving the deal \u2014 with conditions. It said both companies must sign binding commitments to \u201cinvest billions\u201d to launch a combined 5G network across the whole U.K. In the shorter term, the CMA also said that the new combined entity would have to cap \u201ccertain mobile tariffs\u201d for three years, while mobile virtual network operators (MVNOs) would also continue to have pre-set contractual terms for the same period.<\/p>\n<p class=\"wp-block-paragraph\">Vodafone Group CEO Margherita Della Valle said that the decision \u201ccreates a new force\u201d in the U.K. telecom market.<\/p>\n<p class=\"wp-block-paragraph\">\u201cConsumers and businesses will enjoy wider coverage, faster speeds and better-quality connections across the UK, as we build the biggest and best network in our home market,\u201d she said in a statement. \u201cToday\u2019s approval releases the handbrake on the UK\u2019s telecoms industry, and the increased investment will power the UK to the forefront of European telecommunications.\u201d<\/p>\n<h2 class=\"wp-block-heading\" id=\"h-behavioral-changes\"><span class=\"ez-toc-section\" id=\"Behavioral_changes\"><\/span>Behavioral changes<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p class=\"wp-block-paragraph\">What\u2019s notable here is that the agreed remedies are entirely behavioral, rather than requiring structural changes at the companies such as divesting certain business units or selling off infrastructure or IP \u2014 something that the CMA had previously suggested might be an option.<\/p>\n<p class=\"wp-block-paragraph\">\u201cThe CMA\u2019s decision is not a surprise \u2014 it has signalled for some time that it was receptive to approving the merger subject to appropriate concessions from the parties,\u201d Alex Haffner, a competition partner at law firm Fladgate, said in a statement issued to TechCrunch. \u201cNevertheless, it is noteworthy in that it has permitted a \u20184-3\u2019 merger in the mobile sector on the basis of purely behavioural remedies \u2014 over the past decade a multitude of \u20184-3\u2019 mobile network mergers across Europe have been permitted only on the basis of significant structural remedies being conceded by the merging parties. In doing so, the CMA has displayed a degree of pragmatism, sensing that consumers will ultimately benefit more from competition between three well-resourced mobile operators in the UK market.\u201d<\/p>\n<p class=\"wp-block-paragraph\">Nonetheless, the agreed commitments will be overseen by the CMA and Ofcom, the U.K.\u2019s regulatory and competition authority for the telecommunications industry.<\/p>\n<p class=\"wp-block-paragraph\">\u201cIt\u2019s crucial this merger doesn\u2019t harm competition, which is why we\u2019ve spent time considering how it could impact the telecoms market,\u201d Stuart McIntosh, chair of the CMA\u2019s inquiry committee, said in a <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.gov.uk\/government\/news\/cma-clears-vodafone-three-merger-subject-to-legally-binding-commitments\">statement<\/a>. \u201cHaving carefully considered the evidence, as well as the extensive feedback we have received, we believe the merger is likely to boost competition in the U.K. mobile sector and should be allowed to proceed \u2014 but only if Vodafone and Three agree to implement our proposed measures.\u201d<\/p>\n<\/div>\n<blockquote><p><strong><span style=\"color: #ff6600;\">If you liked the article, do not forget to share it with your friends.
