Under the new plan, OpenAI\u2019s for-profit arm will become a public benefit corporation (PBC), but will still be controlled by OpenAI\u2019s nonprofit.<\/p>\n<p class=\"wp-block-paragraph\">The new restructuring plan may be enough to <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>ease regulators and OpenAI\u2019s investors, who\u2019ve <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.reuters.com\/technology\/artificial-intelligence\/openai-raise-40-billion-softbank-led-new-funding-2025-03-31\/\">poured billions into the company<\/a> in expectation of a return someday. But it could also throw a wrench into OpenAI\u2019s future plans, particularly if the company seeks to one day go public. <\/p>\n<h2 class=\"wp-block-heading\" id=\"h-the-ipo-route\"><span class=\"ez-toc-section\" id=\"The_IPO_route\"><\/span>The IPO route<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p class=\"wp-block-paragraph\">Last December, OpenAI outlined a path that would\u2019ve allowed it to spin its for-profit arm out from under the control of its nonprofit board, which is bound by certain obligations, including a clause in its charter to ensure that\u00a0artificial general intelligence benefits all humanity.<\/p>\n<p class=\"wp-block-paragraph\">That plan went out the window on Monday. Now, OpenAI intends to have its nonprofit control and also be a large shareholder of the aforementioned PBC.<\/p>\n<p class=\"wp-block-paragraph\">Besides allowing OpenAI to operate more like a conventional company, a simpler structure could open the door to OpenAI raising additional capital by going public via an IPO. Given OpenAI\u2019s scale, <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.theinformation.com\/articles\/openai-forecasts-revenue-topping-125-billion-2029-agents-new-products-gain?rc=dp0mql\">the huge amount of cash it burns<\/a>, and the public\u2019s massive interest, an IPO seems like something OpenAI might eventually explore.<\/p>\n<p class=\"wp-block-paragraph\">Stephen Diamond, a corporate governance professor at Santa Clara University, told TechCrunch there\u2019s a very narrow path to OpenAI becoming a public company under its newly proposed transition plan. That\u2019s the challenge.\u201d<\/p>\n<p class=\"wp-block-paragraph\">Diamond noted that we don\u2019t know the exact details of OpenAI\u2019s plan, and that it\u2019s unclear if it\u2019ll even be successful in the end. In an email to TechCrunch, OpenAI spokesperson Steve Sharpe said OpenAI\u2019s nonprofit will continue to control the company\u2019s <a href=\"https:\/\/buradabiliyorum.com\/en\/category\/technology\/\" data-internallinksmanager029f6b8e52c=\"4\" title=\"Technology\" target=\"_blank\" rel=\"noopener\">technology<\/a> and that while OpenAI has no intention of going public at this time, an IPO would be \u201ctheoretically\u201d possible under the proposed structure.<\/p>\n<p class=\"wp-block-paragraph\">If OpenAI\u2019s nonprofit really is in control of the organization\u2019s critical technology, shareholders wouldn\u2019t have much of a say in the company\u2019s decisions, said Rose Chan Loui, the founding executive director for UCLA\u2019s Law Program on Philanthropy and Nonprofits. Unlike buying stock in a typical company, shareholders in OpenAI would have to know that their influence over the corporation is limited.<\/p>\n<p class=\"wp-block-paragraph\">\u201cI think an IPO is much harder in this scenario,\u201d said Loui in an interview with TechCrunch.<\/p>\n<h2 class=\"wp-block-heading\" id=\"h-bending-to-pressure\"><span class=\"ez-toc-section\" id=\"Bending_to_pressure\"><\/span>Bending to pressure<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p class=\"wp-block-paragraph\">OpenAI has been squeezed on all ends during its attempted restructuring.\u00a0<\/p>\n<p class=\"wp-block-paragraph\">Just last week, a group of former OpenAI employees asked California and Delaware\u2019s AGs to block the startup\u2019s conversion, claiming <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/apnews.com\/article\/openai-chatgpt-nonprofit-aad1fddb75a19008a1a349d1c972d476\">it was at odds with OpenAI\u2019s charitable roots.<\/a> Both AGs told TechCrunch that they\u2019re reviewing OpenAI\u2019s new plan.<\/p>\n<p class=\"wp-block-paragraph\">OpenAI\u2019s proposal also needs to appease the company\u2019s largest private investors, including Microsoft and Softbank, whose <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.wsj.com\/tech\/ai\/openais-latest-funding-round-comes-with-a-20-billion-catch-1e47d27d\">multi-billion-dollar investments<\/a> reportedly <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.reuters.com\/technology\/artificial-intelligence\/openais-stunning-150-billion-valuation-hinges-upending-corporate-structure-2024-09-14\/\">hinge on OpenAI getting some sort of restructuring over the finish line<\/a>. OpenAI\u2019s new plan gives the company a more conventional capital structure, meaning employees, investors, and the nonprofit will hold equity directly.<\/p>\n<p class=\"wp-block-paragraph\">Microsoft has not yet given its blessing to OpenAI over the new corporate structure, <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.bloomberg.com\/news\/articles\/2025-05-05\/microsoft-said-to-be-key-holdout-for-openai-restructuring-plan\">Bloomberg reported<\/a> on Monday. The cloud provider wants to ensure the new structure adequately protects its multi-billion dollar investment in OpenAI. It\u2019s unclear if other key stakeholders have approved the deal.<\/p>\n<p class=\"wp-block-paragraph\">No one has put more pressure on OpenAI\u2019s restructuring than Elon Musk. The billionaire who co-founded OpenAI and now competes with it through his AI startup xAI submitted a $97 billion takeover bid to raise the price of OpenAI\u2019s nonprofit assets and gum up the ChatGPT maker\u2019s for-profit transition. Musk has also made OpenAI\u2019s restructuring a focal point in his lawsuit against the startup and Microsoft. At its core, Musk\u2019s lawsuit accuses OpenAI of abandoning its nonprofit mission to develop AGI and distribute it broadly.<\/p>\n<p class=\"wp-block-paragraph\">Last week, <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.bloomberg.com\/news\/articles\/2025-05-02\/openai-can-t-fend-off-musk-s-fraud-claims-in-restructuring-suit\">a federal judge denied several of OpenAI\u2019s motions<\/a> to dismiss claims in Musk\u2019s suit. According to Diamond, this was a modest win for Musk, and may have played a role in OpenAI\u2019s changing course. However, in a briefing with members of the press on Monday, Altman <a rel=\"nofollow\" target=\"_blank\" rel=\"nofollow\" href=\"https:\/\/www.cnbc.com\/2025\/05\/05\/openai-says-nonprofit-retain-control-of-company-bowing-to-pressure.html\">reportedly denied<\/a> the suit had any impact on OpenAI\u2019s plans. <\/p>\n<p class=\"wp-block-paragraph\">Marc Toberoff, Musk\u2019s lead counsel\u00a0in his case against OpenAI, told TechCrunch the new corporate restructuring plan \u201cchanges nothing,\u201d implying that Musk won\u2019t be so quick to drop the case.<\/p>\n<\/div>\n<blockquote><p><strong><span style=\"color: #ff6600;\">If you liked the article, do not forget to share it with your friends.
