\n\tMedia<\/a> mogul John Malone is opening up about advising David Zaslav, the chief executive of Warner Bros. Discovery, on his new contract with the media giant.<\/p>\n

\n\tIn an interview with the New York Times<\/a><\/em> about his memoir Born to be Wired<\/em>, Malone, Zaslav\u2019s longtime mentor, told the publication that he recently advised the WBD boss on a new contract that would maximize his potential for generating long-term wealth but also dampen down public criticism that surrounded previous pay deals by keeping the headline figure of the package \u201cskinny.\u201d <\/p>\n

\n\tIn April, The Hollywood Reporter<\/em> reported that Zaslav received a 2024 compensation package worth $51.9 million, compared with\u00a0$49.7 million\u00a0in 2023 and $39.3 million in 2022 when the Discovery-WarnerMedia merger closed. However, in June, WBD shareholders voted to reject the 2024 compensation packages of its top executives, including Zaslav.<\/p>\n

\n\t\u201cIt doesn\u2019t look like it\u2019s all that generous, but in reality, it\u2019s your path to meaningful wealth,\u201d Malone opined to the Times<\/em> about Zaslav\u2019s new pay deal. The restructure of Zaslav\u2019s compensation package is now based on the performance of the company\u2019s stock, which Malone believes will encourage Zaslav \u201cto think like a shareholder,\u201d per the Times.<\/em> (The <\/em>news<\/a>paper also noted that a spokesman for Malone later told the publication that he was not on the compensation committee of WBD and had no role in deciding Zaslav\u2019s compensation.)<\/p>\n

\n\tThe WBD compensation committee redesigned Zaslav\u2019s package to better \u201cincentivize his critical contributions.\u201d The changes to Zaslav\u2019s pay structure partly \u201caddress stockholder feedback and preferences with respect to CEO compensation structure,\u201d WBD said in an 8-K filing in June. <\/p>\n

\n\tZaslav\u2019s base salary will remain $3 million, but following the split, his target annual cash bonus opportunity will be reduced to $6 million (from $24 million in 2024). Zaslav\u2019s equity awards will have a target value of $15.5 million in year one; the target will be reduced to $7.5 million for the following years.<\/p>\n

\n\tIn the interview, Malone revealed that he texts Zaslav daily and also advised the executive on WBD\u2019s rights negotiations with the NBA, counseling his prot\u00e9g\u00e9 to not spend billions. In summer 2024, WBD\u2019s TNT Sports ultimately lost the rights to the NBA after holding them for 35 years.<\/p>\n

\n\tElsewhere in the interview, Malone spoke on CNN, having written in his memoir that the network is \u201ca shadow of what its founder had envisioned\u201d and an issue with its network\u2019s employees is that they \u201cexpress their opinions too much in their news\u201d adding that Zaslav had been \u201cunable to have any meaningful impact\u201d in fixing it.<\/p>\n

\n\t\u201cThey can\u2019t help themselves,\u201d Malone said. \u201cAnd so what you\u2019ve got is a left-leaning, anti-Trump news service.\u201d<\/p>\n

\n\tMalone noted that the network\u2019s next plan will be a paid subscript<\/a>ion service, in which viewers can stream hours of CNN video without a cable subscription.\u00a0<\/p>\n
