\n\tNetflix\u2018s chief global affairs officer says the human cost of a Paramount Skydance x Warner Bros. Discovery deal would be astronomical.<\/p>\n

\n\tOn Fox Business Network on Monday, Clete Williams rang the alarm bells on Paramount\u2018s competitive bid for all of WBD; Netflix currently has a deal in place for the Warner Bros.\u2018 streaming and studios business, inclusive of HBO.<\/p>\n

\n\tNetflix\u2019s deal for WB is presently under regulatory review here and abroad. Williams told<\/a> Fox Business anchor Liz Claman that it\u2019s all \u201cjust ordinary course of business stuff.\u201d<\/p>\n

\n\t\u201cOf course, the Department of Justice is going to investigate this transaction and make sure that it\u2019s good for our economy and good for our consumers,\u201d Williams said. \u201cAnd my understanding is that they\u2019ve sent similar inquiries about Paramount as well.\u201d<\/p>\n

\n\tWilliams says Netflix is currently \u201cengaging with state attorney general<\/a>s.\u201d<\/p>\n

\n\tNothing anticompetitive to see here, Williams said. He can\u2019t say the some for Paramount.<\/p>\n

\n\t\u201cThey have what we call the Noah\u2019s Ark problem, which is, if they effectuate this deal, they\u2019re going to have two of everything,\u201d Williams said.<\/p>\n

\n\tThe largest cost of sorting the duplication out would be the human cost, Williams said. Paramount Skydance has identified $6 billion in synergies with Warner Bros. Discovery; Netflix has acknowledged $2-$3 billion in synergies for their deal in hand. And not all corporate synergies are created equal.<\/p>\n

\n\t\u201cWe\u2019re trip<\/a>ling jobs, while Paramount has cut 3,500 jobs in recent years,\u201d Williams said. \u201cParamount has identified $6 billion in synergies in the offer that they made, which is code for $6 billion in job cuts.\u201d

\u201cAnd, quite frankly, we think it\u2019s going to be even more than that, because this is going to be the largest leveraged buyout in history,\u201d he continued. \u201cAnd so they\u2019re going to have to cut, cut, cut.\u201d<\/p>\n

\n\tWilliams says Netflix\u2019s savings due to synergies is \u201cprimarily from licensing fees and saving on things like that.\u201d<\/p>\n

\n\t\u201cIt\u2019s not from job cuts,\u201d he said.<\/p>\n

\n\tNetflix stunned the entertainment industry in December by entering into an agreement to purchase Warner Bros. for $83 billion; it is now an all-cash deal. But Paramount Skydance\u2019s David Ellison is not going down without a fight.<\/p>\n<\/div>\n
