Seyfert-led giant hit back on Monday at the historic firm\u2019s proxy fight, which was first reported by The Post on Feb. 25, that branded the move as a thinly-veiled threat to launch \u201ca war\u201d and complete a full takeover.<\/p>\n<p>A proxy fight is an unfriendly contest for control of a company in which a group of shareholders tries to convince other investors to vote out the current board of directors or management.<\/p>\n<figure class=\"nyp-slideshow-modal-image wp-block-image aligncenter size-large\"><figcaption>Ruger, a leading US maker of pistols, rifles, and revolvers including the iconic 10\/22 rifle, has been gr<a href=\"https:\/\/buradabiliyorum.com\/en\/category\/download-scripts-themes-apps\/\" data-internallinksmanager029f6b8e52c=\"9\" title=\"Download Scripts &amp; Themes &amp; Apps\" target=\"_blank\" rel=\"noopener\">app<\/a>ling with a post-pandemic sales slump. <span class=\"credit\">AFP via Getty Images<\/span><\/figcaption><\/figure>\n<p>Ruger claimed Beretta quietly built a large stake, refused to halt purchases during negotiations and sought perks that could break US antitrust laws that prevent companies from unfairly dominating markets.<\/p>\n<p>Executives from both firms finally agreed to meet in December, the US company said in a release that it described as an attempt \u201cto set the record straight.\u201d<\/p>\n<aside class=\"single__inline-module aligncenter wp-block-nypost-editor-primary-tag\">\n<\/aside>\n<p>\u201cAt that meeting, Beretta\u2019s chair indicated a long-term plan to combine Ruger with Beretta but made no formal proposal,\u201d Ruger said in a statement issued via a spokesperson.<\/p>\n<p>\u201cBeretta\u2019s chair also indicated that he had no interest in the status quo and that he would find a way to increase his position if Ruger remained resistant,\u201d the company added .<\/p>\n<p>The 500-year-old company, with ties to the Italian Alpine region of Lombardy where gun rights are far weaker than in the United States, has slowly built a near 10% stake in Ruger.<\/p>\n<figure class=\"nyp-slideshow-modal-image wp-block-image aligncenter size-large\"><figcaption>Ruger responded in October with a  so-called \u201cpoison pill\u201d defense. It is a tactic used by takeover targets that floods the market with new shares to make a takeover costlier and dilute the buyer\u2019s power. <span class=\"credit\">Bloomberg via Getty Images<\/span><\/figcaption><\/figure>\n<p>Beretta announced plans two weeks ago to nominate four new members to sit on Ruger\u2019s nine-member board after the publication of The Post\u2019s exclusive story.<\/p>\n<p>The names are William Franklin Detwiler of Fernbrook Capital, Mark DeYoung, the ex-Vista Outdoor CEO, Frederick Disanto of Ancora Holdings and Michael Christodolou of Inwood Capital.<\/p>\n<p>Reps for Beretta, whose parent is based in the tax haven nation of Luxembourg, claimed last month that the 500-year-old firm \u201cis not seeking control of the Ruger board.\u201d<\/p>\n<p>The company\u2019s New York-based spokespeople did not respond to a request for comment earlier on Monday.<\/p>\n<p>The feud traces back to Sept. 22, 2025, when Beretta filed a Schedule 13D, a required SEC disclosure for owning 5% or more of a public company\u2019s stock, which revealed a 7.7% stake.<\/p>\n<figure class=\"nyp-slideshow-modal-image wp-block-image aligncenter size-large\"><figcaption>Beretta is a 500-year-old firm with ties to Italy\u2019s Alpine region.
